License to Use Documents Purchased from Business Performance Associates, Inc. (BPA)
Business Performance Associates extends to you or your company the following limited rights to use its documents that are purchased on the Web. The term “document” as used here includes all types of documents, such as, but not limited to, policy documents, procedures, SOPs, work instructions, and templates Any facility owned by your company may use the documents in any manner it wishes FOR INTERNAL USE. For example, the document may be modified, edited, reproduced, or translated. In addition, the document can be freely used in the normal course of conducting business, including sharing the document(s) with regulatory bodies, customer or third party auditors, and consultants who will use the document directly in providing service to your company. If you are a consultant or a consulting company, this license grants you the right to use the document(s) as a reference, but not to sell it or give it to clients. Clients may purchase the documents directly at www.BPAconsultants.com. This license does not provide any purchaser (individual, consultant, consulting company, or company) the right to resell the document(s), or to grant other organizations or individuals outside your company the right to use it (them) at no cost, e.g., posting the document on the web for free access of companies or individuals, or giving the document to individuals or organizations. THESE SAME RESTRICTIONS APPLY TO ANY AND ALL MODIFIED VERSIONS OF THE DOCUMENTS. The document will to be treated as company confidential and protected in the same manner as your other company confidential materials. You, and your company if you are purchasing the documents for your company, accept full responsibility for the use of these documents and their content. In no event shall BPA be liable for indirect, incidental, special or consequential damages incurred by your company or any third party in conjunction with this agreement, including the loss of profits, data, or cost associated with use or the procurement of substitute services, whether in an action in contract, tort, or otherwise, even if BPA has been advised of the possibility of such damages. In no event shall BPA’s liability exceed the aggregate fees received by BPA for this license. This agreement constitutes the entire agreement between BPA and your company relating to the subject matter and supersedes all prior oral and written understandings, commitments, and negotiations of the parties with respect to the licensing of these documents. Changes to the terms of this license must be in writing and signed by R. Timothy Stein, CEO of Business Performance Associates, Inc.
